Terms of Service

These Terms of Service ("Terms") govern your access to and use of WholesaleIQ (the "Service"), operated by WholesaleIQ ("we," "us," or "our"). By creating an account, connecting your Faire store, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

WholesaleIQ is a wholesale growth platform for brands that sell on the Faire marketplace. The Service includes:

• Autopilot: a done-for-you outreach service made up of an Email Agent that contacts new wholesale buyers and a DM Agent that re-engages your past Faire customers.
• Faire intelligence tools: Brand Ranker, Keyword Ranker, AI Listing Builder, and buyer discovery tools.

WholesaleIQ is an independent service. We are not affiliated with, endorsed by, or operated by Faire, Inc. "Faire" is a trademark of its respective owner. Your use of Faire remains subject to Faire's own terms.

You must be at least 18 years old and able to form a binding contract to use the Service. To use most features you must create an account, and you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate, current, and complete information
• Notifying us promptly of any unauthorized use at support@wholesaleiq.com

Autopilot requires you to connect your Faire store using Faire's official authorization. This connection is read-only: we can read your orders, customers, and products to personalize outreach and attribute sales, but we cannot place orders, change your listings, or spend money on your behalf.

Certain features require you to invite us to your Faire account as a team member with the Analytics permission. This is used only to send DMs from your account and to create your promo code. By granting this access, you authorize us to send messages and create that promo code on your behalf. You may revoke access or disconnect at any time, which stops the affected features.

When Autopilot is active, you authorize us to conduct outreach on your behalf:

• Email Agent: we write and send emails to prospective wholesale buyers from our own managed sending infrastructure, not your email account or domain, directing interested retailers to your Faire Direct link.
• DM Agent: we send messages from your Faire account only to your own past customers who have purchased from you on Faire at least once. Faire does not permit messaging buyers who have not ordered from you.

You are responsible for the accuracy of the offer you configure (such as any discount or promo), for honoring orders that result, and for ensuring your use of outreach complies with Faire's terms and applicable laws. You may pause or cancel outreach at any time.

Pricing and billing for the Service:

• Autopilot subscription: $99 per month on the monthly plan, or $831 per year on the annual plan. Both are billed in advance; the annual plan is charged in full for the twelve-month term at the start of that term.
• Performance fee: a percentage of your Faire sales from activation onward — 3.5% on the monthly plan, 2.4% on the annual plan. This applies to your Faire orders going forward (not only orders the agents source) and never to sales made before you joined. It is calculated on each order's product subtotal after any promo discount you fund, before Faire's commission and payment fees are deducted; shipping is not included, and canceled orders are not charged.
• How the performance fee is billed: it is billed monthly on every plan, including the annual plan. On the annual plan the subscription is charged once for the year while the performance fee continues to be charged each month based on that month's Faire orders.
• Switching to the annual plan: the annual subscription is charged in full on the day you switch, and your monthly subscription charge stops at that point. The unused remainder of the monthly period you have already paid for is not prorated or credited. If you believe you switched in error, contact us and we will review it.
• Payment processor: all payments are processed by Stripe. By subscribing you authorize recurring charges for the subscription and the performance fee.
• Renewal and cancellation: subscriptions renew automatically until cancelled. The monthly plan may be cancelled at any time and is month-to-month. The annual plan is a prepaid twelve-month term: you may cancel to prevent it renewing, but the term itself is not refundable except where required by law. On cancellation the agents stop; you keep the customers and orders you have already won.
• Refunds: fees already incurred and partial periods are non-refundable, except where required by law.
• Taxes: stated prices do not include taxes, which are your responsibility where applicable.
• Price changes: we may change pricing with reasonable advance notice; changes take effect on your next billing cycle.

We also offer additional tools and account types. The specific features and limits available to you depend on your plan.

Any projections, growth plans, or examples we provide are estimates for illustration only and are not a guarantee of results. Outcomes depend on factors outside our control, including your products, pricing, offer, and how buyers respond. We do not guarantee any specific number of orders, sales, or revenue.

You agree not to:

• Violate any applicable law or regulation, or any third-party platform's terms (including Faire's)
• Attempt to gain unauthorized access to our systems or other users' data
• Interfere with, disrupt, or overload the Service
• Scrape, copy, or extract our proprietary data except as the Service expressly allows
• Reverse engineer or attempt to derive source code from the Service
• Share your account credentials or resell access without our written permission
• Use the Service to send unlawful, deceptive, or harassing communications

The Service, including its software, content, and analytics, is owned by us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. You retain ownership of your own data and content, and you grant us the rights needed to operate the Service and perform outreach on your behalf.

The Service relies on and integrates with third parties, including Faire (marketplace and API), Stripe (payments), and analytics and infrastructure providers. Your use of those services is governed by their terms and privacy policies. We are not responsible for the practices or availability of third parties.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data and projections will be accurate or complete.

To the maximum extent permitted by law, WholesaleIQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months before the event giving rise to the claim.

You agree to indemnify and hold harmless WholesaleIQ from any claims, damages, or expenses arising out of your use of the Service, your content or offers, or your violation of these Terms, applicable law, or a third-party platform's terms.

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you violate these Terms or if your use is harmful to the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (such as fees owed, disclaimers, and limitation of liability) will survive.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. You agree that any dispute will be resolved exclusively in the state or federal courts located in Texas, unless applicable law requires otherwise.
